PRICING

Despite our best efforts, any number of products or shipping and handling charges may be mispriced. If we discover this, we will, at our discretion, either contact you for instructions or cancel your order and notify you of such cancellation.

OUT OF STOCK ITEMS

Occasionally, Proformance Pros may be temporarily out of stock on a certain Item or an item becomes discontinued. In that case we will either contact you to discuss potential back orders, time to availability, or offer substitute item(s) or cancel your order and notify you of such cancellation.

RISK OF LOSS

All items purchased from Proformance Pros are made pursuant to shipping terms FOB Shipping Point. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

SHIPPING TIMELINE

All items purchased through Proformance Pros' website after 2 pm central time may not be processed until the following business day. Please keep this in mind when selecting your shipping method.

PRODUCT DESCRIPTIONS

Proformance Pros and its associates attempt to be as accurate as possible. However, Proformance Pros does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Proformance Pros itself is not as described, your sole remedy is to return it in unused condition.

NO WARRANTY

Proformance Pros extends no warranty of any kind (see full disclaimer in subsequent section), either express or implied, on any product it sells or manufactures due to the intended use of such products and the inability to validate causes of failure. PROFORMANCE PROS IS NOT LIABLE FOR ANY DAMAGES THAT OCCUR FROM THE IMPROPER INSTALLATION OF ANY PARTS OR TIRES, OR ANY DAMAGES THAT OCCUR ON THE INSTALLERS PROPERTY. ANY CLAIMS RESULTING FROM INSTALLATION ARE THE SOLE LIABILITY OF THE INSTALLER, WHETHER REPUTABLE INSTALLER OR SELF-INSTALLER, AND PROFORMANCE PROS IS NOT LIABLE FOR ANY DAMAGES DUE TO THE INSTALLER OR ITS EMPLOYEES.

APPLICABLE LAW

By visiting Proformance Pros, you agree that the laws of the state of Michigan, United States of America, without regard to principles of conflict of laws, will govern these Terms and Conditions and any dispute of any sort that might arise between you and Proformance Pros or its associates.

VIOLATION OF THESE TERMS AND CONDITIONS

You agree that Proformance Pros may, in its sole discretion and without prior notice, terminate your access to the site, for cause, which includes (but is not limited to): (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the site or any service offered on or through the site, or (4) unexpected technical issues or problems. If Proformance Pros does take any legal action against you as a result of your violation of these Terms and Conditions, Proformance Pros will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Proformance Pros. You agree that Proformance Pros will not be liable to you or to any third party for termination of your access to the site as a result of any violation of these Terms and Conditions.

TERMINATION OF AGREEMENT

Either Proformance Pros or User may terminate this Agreement at its discretion. In addition to Proformance Pros’ other rights, Proformance Pros may terminate access to this site or cancel membership to any service that Proformance Pros provides on the site, if User breaches this Agreement in any way or engages in conduct that Proformance Pros deems inappropriate. In the event of termination of this Agreement, the provisions in this paragraph and all other applicable provisions of this document shall survive.

DISPUTES

Any dispute relating in any way to your visit to Proformance Pros or to products you purchase through Proformance Pros shall be submitted to confidential arbitration in the state of Michigan, United States of America, except that, to the extent you have in any manner violated or threatened to violate Proformance Pros’ intellectual property rights, Proformance Pros may seek injunctive or other appropriate relief in any state or federal court in the state of Michigan, United States of America, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrators award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.
